1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and the operator of PRESTIX.VIP ("PRESTIX," "we," "us," or "our") governing your access to and use of the website, applications, and related services available at prestix.vip and associated properties (collectively, the "Services"). By creating an account, signing in, purchasing a membership, submitting agreements, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

If you do not agree, do not use the Services. Where mandatory consumer laws in your country give you rights that cannot be waived, those rights apply notwithstanding any contrary provision below.

2. Eligibility

You must be at least the age of majority in your jurisdiction and able to enter a legally binding contract. You may not use the Services if you have been suspended or terminated by us, or if applicable sanctions or export laws prohibit your participation.

3. The Services

PRESTIX.VIP provides an online platform for hospitality and entertainment experiences, including tools for venues, event organizers, promoters, influencers, and members—such as listings, bookings, messaging, referrals, dashboards, and integrated payments. We may add, change, or discontinue features.

3.1 Platform role

Unless we expressly state otherwise in writing, we are a technology platform. Contracts for tickets, tables, venue services, or other offerings are between you and the applicable venue, organizer, or seller ("Partner"). Partners are solely responsible for their offerings, pricing, fulfillment, refunds, compliance with law, and customer support for those offerings.

We are not obligated to mediate disputes between you and a Partner. We may, where reasonable, facilitate communication or support requests but are not responsible for resolving factual or legal disputes between users.

4. Accounts, credentials, and wallet

You must provide accurate information and keep it current. You are responsible for activity under your account and for safeguarding passwords, devices, and wallet credentials. Notify us promptly at the contact below if you suspect unauthorized access.

Where you connect a blockchain wallet or third-party identity provider, your use of those services is also governed by their respective terms and privacy policies.

5. Payments and payouts

Payments on the platform may be processed by us, Partners, or third-party payment processors (including, for card payments, services such as Stripe). By paying, you authorize charges in accordance with the checkout flow presented to you. Fees, taxes, and currency conversion may apply as shown at purchase.

Split payouts, commissions, and marketplace rules are described at the point of sale and in Partner-facing materials. Nothing in these Terms guarantees a particular commission rate for future transactions unless expressly stated in a separate agreement.

Chargebacks, reversals, and payment failures may affect access to bookings or features. We may offset or withhold amounts where permitted by law and processor rules to address fraud, chargebacks, or breaches of these Terms.

6. Acceptable use

You agree not to:

• Violate law, infringe others' rights, or misuse personal data.
• Interfere with or disrupt the Services, security systems, or other users' access.
• Use the Services to distribute malware, spam, or deceptive content.
• Attempt unauthorized access to accounts, data, or networks.
• Scrape, harvest, or automate access except via documented APIs we provide.
• Misrepresent affiliation with PRESTIX.VIP or any Partner.

We may investigate and suspend or terminate access for violations.

7. Intellectual property

The Services, branding, logos, software, and content we provide are owned by PRESTIX or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for personal or internal business use in connection with the platform. You retain rights in content you submit; you grant us a worldwide license to host, use, display, and distribute such content as needed to operate and promote the Services.

8. AI-assisted features

Certain features may use artificial intelligence to generate suggestions, summaries, or responses. Output may be inaccurate or incomplete. You are responsible for your reliance on AI output and for compliance with law when using generated content.

8.1 AI memory and personalization

To improve the relevance of AI-assisted features, we may extract and store a structured summary of facts and preferences from your conversations with AI tools on the platform (such as the Prestix AI assistant, voice concierge, and support assistant). This memory is scoped to your account, refreshed periodically from recent activity, and is not shared with other users. Full details—including what is stored, retention periods, user controls, and limitations—are described in our Privacy Policy.

8.2 Limitations

• AI memory reflects a periodic snapshot of your recent conversations; it may not capture changes immediately and may occasionally contain outdated or redundant information.
• Deleting memory data does not prevent the system from generating new entries from future or remaining conversation activity.
• AI features, including memory-based personalization, are provided on an "as is" basis. We do not guarantee accuracy, completeness, or suitability of AI-generated output for any particular purpose.

9. Communications

To the extent permitted by law, you consent to receive transactional and service-related communications (including email, SMS, push, or in-app notices) regarding your account, bookings, and security. Where required, we will obtain separate consent for marketing messages; you may opt out of marketing as described in those messages or in your account settings where available.

10. Disclaimers

Except where prohibited by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted. We do not warrant uninterrupted or error-free operation or that defects will be corrected.

11. Limitation of liability

To the maximum extent permitted by applicable law, PRESTIX and its affiliates, directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, data, or business opportunities, arising from or related to the Services or these Terms.

Our aggregate liability for claims arising out of or related to the Services or these Terms is limited to the greater of (a) the amounts you paid to PRESTIX for the Services in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100), except where mandatory law requires otherwise.

12. Indemnity

You will defend, indemnify, and hold harmless PRESTIX and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of others' rights, to the extent permitted by law.

13. Suspension and termination

We may suspend or terminate your access to the Services at any time for breach of these Terms, risk, legal requirements, or operational reasons. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, indemnity, and governing law) will survive termination.

14. Governing law and disputes

Unless mandatory local law requires otherwise, these Terms are governed by the laws applicable to the operating entity of PRESTIX.VIP, without regard to conflict-of-law principles. Courts located in that jurisdiction have exclusive venue for disputes, subject to any non-waivable rights you have as a consumer in your country of residence.

Some jurisdictions do not allow arbitration or class-action waivers for consumers; where prohibited, those provisions do not apply to you.

15. Changes

We may modify these Terms by posting an updated version on the Services with a new "Last updated" date. Material changes may be communicated via the Services or email where appropriate. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services.
